For Buyers & Investors

Buy a licensed PJP company — with eyes wide open.

Entering the Indonesian payments market through acquisition means buying more than a licence: you buy a compliance history, a system architecture and the risks hidden inside both. We make sure what you buy is what you think you are buying.

Who we work with

Wherever you come from, the need is the same: certainty.

  • Fintech and payment companies from China, Malaysia, Singapore, Japan, Korea and the Middle East (Dubai/UAE, Qatar, Saudi Arabia) entering Indonesia
  • Remittance, payment gateway and e-wallet businesses that need a licensed PJP entity
  • Investors and financial groups assessing opportunities in payment systems
  • Indonesian companies adding activities or licence scope through acquisition
Investors Welcome

Investors are welcome. You do not need to be a payments operator to be an owner.

We support strategic and financial investors alike: assessing the opportunity, designing an ownership structure aligned with Bank Indonesia requirements, and making sure the company's governance and systems are ready for a new owner.

  • Strategic investors and payment operators expanding their scope
  • Investment funds, private equity and venture capital
  • Family offices and individual investors
  • Domestic and foreign investors, including from the Middle East and Asia

The eligibility of shareholders and the ownership structure are of interest to Bank Indonesia — which is why we map them from the start.

What we examine

What often hides behind a tidy-looking licence

  • Licence status and readiness for the PBI 10/2025 framework
  • Shareholder structure, including ultimate owners
  • Capital adequacy and reporting/compliance obligations to Bank Indonesia
  • AML/CFT implementation and risk-management governance
  • System security, IT governance and testing results (VAPT)
  • Contracts with banks, merchants and switching partners
  • Unrecorded disputes, litigation and liabilities
Good to know

The rules that shape the transaction, at a glance

  • A PJP licence cannot be transferred (PBI 10/2025) — what you acquire is the company holding it.
  • Changes in shareholders or controllers of a PJP fall under Bank Indonesia oversight and require an approval or notification process under the applicable rules.
  • There are ownership-composition and control limits for Indonesian parties that must be satisfied on a continuing basis.
  • Shareholders, directors and commissioners may be subject to fit-and-proper assessment by Bank Indonesia.

Regulations change. On every engagement we verify the latest rules before the structure is fixed.

FAQ

Questions from buyers

Both are legitimate routes and depend on your goals. Acquisition gives you an operating company but also inherits its history and risks — which is why due diligence is central. We also support new licence applications where that is the better route.

Ownership and control requirements are set by Bank Indonesia and depend on the type of PJP and its shareholder structure. We verify the rules applicable to your case from the first consultation rather than quote a generic figure that could mislead.

We search for and approach targets confidentially against your criteria. There is no public list — and we never publish company names.

No. On any single transaction we act for one party only, under a written mandate.

It depends on the target's readiness, structural complexity and Bank Indonesia's approval process. We give a realistic estimate after the initial consultation, not a timeline we cannot stand behind.
